Please read these Terms of Service ("Terms") before using the DynoRoute website, web platform, and driver app (together, the "Service") provided by DynoRoute. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

DynoRoute provides route planning, dispatch, and proof-of-service software for waste collection fleets. The Service includes a web platform for planning and managing collection routes and a driver app for running them.

2. Accounts and Eligibility

  • You must be 18 years or older and have the authority to bind your company to these Terms.
  • You are responsible for the accuracy of your account information and for keeping your credentials secure. Each user must have their own login; shared logins are not permitted.
  • Accounts must be registered by a human; accounts created by bots or automated methods are not permitted.
  • DynoRoute is not liable for loss or damage resulting from your failure to keep your account secure.

3. Subscriptions and Payment

  • The Service is offered on subscription plans as listed on our pricing page. Fees are billed in advance for each billing period.
  • Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You can cancel at any time, and cancellation takes effect at the end of the current billing period.
  • All published fees are exclusive of taxes, levies, or duties imposed by taxing authorities. Where we are required to collect taxes, they will appear as line items on your invoice; otherwise, you are responsible for them.
  • We may change the Service or its pricing. We will aim to give you advance notice of any material change, and price changes will not take effect until your next billing period.

4. Your Data

  • You retain ownership of the data you and your team put into the Service, including customer lists, routes, service records, and proof-of-service photos ("Customer Data").
  • You grant DynoRoute the rights needed to host, process, and display Customer Data in order to provide the Service.
  • You are responsible for ensuring you have the right to submit the Customer Data you use in the Service, including any personal information about your employees and customers.
  • We handle personal information as described in our Privacy Policy.

5. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose, or in violation of any applicable law or regulation;
  • sell, sublicense, or redistribute the Service;
  • attempt to probe, disrupt, or gain unauthorized access to the Service or its infrastructure;
  • upload malware or content that is unlawful or infringes the rights of others;
  • copy or reuse any portion of the Service's design or visual elements without written permission.

We may suspend accounts that violate this section.

6. Service Availability and Changes

We work to keep the Service available at all times, but it may be temporarily unavailable due to maintenance or events beyond our control. We may update the Service and add or change features; updates are subject to these Terms.

7. Intellectual Property

DynoRoute owns all intellectual property rights in the Service, including software, design, trademarks, and trade secrets. If you send us feedback or suggestions, we may use them to improve the Service without obligation to you.

8. Third-Party Services

The Service may integrate with third-party applications through APIs. Your use of third-party services is governed by their terms and privacy policies, and we are not responsible for data processed by them.

9. Term, Cancellation, and Termination

  • You may cancel your account at any time from within the Service or by contacting support@dynoroute.com.
  • You may terminate these Terms if we materially breach them and fail to cure the breach within a reasonable period after notice.
  • We may suspend or terminate your account if you violate these Terms and do not cure the violation after notice.
  • Upon termination, your access to the Service ends. We will make Customer Data available for export for a reasonable period after termination, after which we may delete it as described in our Privacy Policy.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of availability, accuracy, or fitness for a particular purpose. You are responsible for how routes and schedules produced by the Service are used in your operations.

11. Limitation of Liability

To the maximum extent permitted by law, DynoRoute will not be liable for any indirect, incidental, special, exemplary, or consequential damages, or for lost profits, lost data, or business interruption, arising from or related to your use of the Service. Our total liability under these Terms is limited to the amounts you paid us for the Service in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold DynoRoute harmless from claims or damages arising from your use of the Service in violation of these Terms or applicable law. We will cooperate reasonably in the defense of any such claim.

13. Governing Law

These Terms are governed by the laws of Arizona, USA, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of the courts of Arizona, USA.

14. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and DynoRoute regarding the Service and supersede any prior agreements. We may update these Terms from time to time; we will post the updated version with a new "Last updated" date, and your continued use of the Service constitutes acceptance.
